LOS ANGELES, Feb. 11, 2016 -- Pepper Hamilton LLP announced today that Terrence R. Allen has joined the firm’s Corporate and Securities Practice Group as partner in the Orange County and Los Angeles offices. He will lead the expansion of Pepper Hamilton’s transactional practice on the West Coast. Allen was formerly a transactional partner with Gibson, Dunn & Crutcher LLP.

Allen specializes in corporate transactions, including public and private mergers, stock purchases, asset sales and leveraged recapitalizations. He represents issuers in private placements and venture capital deals, and investors in purchases of equity and start-up and other private companies. He also advises clients on corporate governance and disclosure matters.
While Allen’s work is primarily transactional, he collaborates frequently with partners in providing litigation and other specialized client work.

Allen has conducted extensive market research relating to private M&A transactions. In 2003, he conceived and led the development of one of the earliest and most comprehensive "deal points" studies recognized in the marketplace. The study involved the analysis of more than 250 acquisition agreements pertaining to closed private M&A transactions in more than two dozen industries to determine the prevalence of approximately 70 different provisions often included in these agreements. More recently, he conceived and led an exhaustive and groundbreaking study of indemnity claims in private M&A transactions.
